This paper quantitatively analyses the relation between the return of private seasoned equity offerings and variables of market and firm characteristics in China Ashare market. A multiple-factor linear regression model is constructed to estimate this relation and the result canhelp investors to determine the future return of private placement stocks. Shareholder Activism is a mechanism by which investors who hold a significant but non-majority percentage of a company’s stock, exercise their voting rights, participate in corporate governance and influence operational decisions of target companies. China's city commercial banks were reorganized by the urban credit cooperatives in the same city in the 1990s. Although they are allowed to open branches outside the registered city, the location and the number of their branches have been strictly restricted. It is fatal to them to increase the competitiveness of their branches. While agency problems inevitably exist in buyer-supplier relationships, the focus on how to overcome such problems has been confined to the buyer-supplier dyad as if the dyad exists in isolation. In this dissertation, I re-frame the agency problems beyond the dyadic relationship between a buyer and its supplier and suggest a new way to overcome agency problems. While the current Agency Theory suggests that the buyer can monitor and provide incentives to mitigate the agency problems, I propose to look beyond the dyad in addressing buyer-supplier agency problems. Private label growth in emerging markets has not kept pace with the growth in private labels elsewhere. For instance, in Europe and North America, private labels now constitute an average of 35% of total retail market share, compared to emerging markets, where market shares vary between 1% and 8 %. This dissertation examines the possibility that differences in private-label performance between developed and emerging economies is not driven by one mechanism, but arises from a variety of sources, both structural, and behavioral.
